All services are defined in a written agreement, proposal, invoice, or statement of work (SOW).
Deliverables, timelines, and pricing are specific to each project.
We reserve the right to refuse service to anyone for any lawful reason.
Payment terms will be outlined in your proposal or invoice.
Unless otherwise agreed:
Deposits are non-refundable.
Monthly retainers are billed in advance.
Late payments may result in paused services.
Failure to pay may result in suspension or termination of services.
Clients are responsible for third-party costs (ad spend, hosting, domains, software subscriptions, etc.).
Marketing involves variables outside our control.
We do not guarantee:
Specific rankings
Specific revenue numbers
Specific lead volume
Ad approval from platforms
We execute proven strategies. Results depend on market conditions, competition, offer strength, and client responsiveness.
Clients agree to:
Provide accurate information
Supply necessary content, access, and approvals
Respond in a timely manner
Maintain lawful business practices
Delays in communication or assets may impact project timelines.
All content, logos, trademarks, and materials provided by the client remain the client’s property.
Upon full payment:
Custom website builds and approved creative assets become client property.
Proprietary frameworks, templates, processes, automation systems, and internal tools remain the property of Metrum Media.
We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.
We are not affiliated with or endorsed by Meta, Google, or other ad platforms.
Ad accounts may be subject to suspension or policy restrictions outside our control.
Clients are responsible for complying with platform policies.
We respect client confidentiality.
Non-public business information shared with us will not be disclosed to third parties, except:
As required to fulfill services
As required by law
To the fullest extent permitted by law:
Metrum Media shall not be liable for:
Indirect or consequential damages
Lost profits or business interruption
Platform bans or account suspensions
Data loss beyond our direct control
Our total liability shall not exceed the total fees paid to us in the preceding three (3) months.
Either party may terminate services according to the terms outlined in the agreement.
Upon termination:
Outstanding balances remain due.
Access to agency-owned systems may be revoked.
Deliverables will be provided based on completed work and payment status.
Due to the nature of digital marketing services, refunds are generally not provided once work has begun.
Exceptions may be made at our sole discretion.
Clients agree to indemnify and hold harmless Metrum Media from claims arising from:
Client-provided content
Misleading or unlawful business practices
Regulatory violations related to the client’s industry
Use of our website is also governed by our Privacy Policy.
These Terms are governed by the laws of the State of Florida.
Any disputes shall be resolved in the courts located in Lee County, Florida.
We reserve the right to update these Terms at any time.

Metrum Media & Marketing LLC, its officers, and its agents shall not be liable for any losses or damages—including but not limited to loss of profits, data, or business opportunities—arising from delayed, undelivered, or misdirected messages, or any technical errors caused by mobile carriers or third-party service providers.
